Reserve.org and app.reserve.org (together, the “Sites”) are operated by ABC Labs, LLC (“ABC Labs”). The Reserve Protocol is an open, decentralized system that allows people to create and use asset-backed baskets of tokens called DTFs (Decentralized Token Folios). RSR (Reserve Rights) is a governance and utility token that is intended to align incentives around the long-term health of the protocol. ABC Labs contributes to the development of the Reserve Yield and Index Protocols and related tools, but does not control how the protocols are used or how independent third parties build on them. 


ABC Labs is not a bank, broker-dealer, investment adviser, commodity trading adviser, futures commission merchant, or other regulated financial intermediary, and is not registered with the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, or any other financial authority. The Sites are user interfaces that help you interact with smart contracts on public blockchains. Information on the Sites is provided to help explain how the protocol and DTFs work, but it does not take into account your personal situation and does not constitute investment, legal, tax, or other professional advice.


The Reserve Protocol and the DTFs, RSR, stablecoins, and other digital assets referenced on the Sites are experimental technologies that involve a meaningful degree of risk. Digital assets can be extremely volatile, and markets for them may be thin or illiquid. There is no guarantee that any DTF will achieve or maintain a particular price, track an intended index, or deliver any specific level of return or risk. You should not use funds you cannot afford to lose.


DTFs and RSR are not deposits or accounts, are not legal tender, and are not backed or guaranteed by ABC Labs, Confusion Capital, any bank, or any government agency. They are not insured by the FDIC, SIPC, or any similar scheme. Where particular DTFs or contracts use on-chain governance or special roles, any associated voting or administrative powers are defined purely by their smart contracts and governance documents.


The Reserve smart contracts have undergone multiple independent security audits and there is an ongoing public bug bounty program. We believe these steps reduce the risk of vulnerabilities, but they cannot eliminate it. Smart contracts and blockchains may contain bugs or be attacked, and upstream applications used by DTFs (such as automated market makers, lending markets, price oracles, and bridges) can also fail or be exploited. Failures in these components can result in partial or total loss of user funds or in DTFs becoming impaired. ABC Labs does not have the ability to reverse or cancel transactions or to unilaterally “bail out” any DTF.


Many DTFs hold collateral that depends on third-party issuers, custodians, or financial institutions, including stablecoins and real-world asset tokens. Those entities may impose transfer restrictions, freeze assets, fail to maintain adequate reserves, face regulatory actions, or become insolvent. Liquidity crises, depegs, defaults, or other market disruptions affecting collateral assets can negatively impact DTFs. Before using a particular DTF, you should review its documentation to understand what collateral it holds, how it is governed, and which external protocols and issuers it depends on.


ABC Labs does not take custody of your assets. You access the Reserve contracts using your own wallets and keys and, if you choose, third-party interfaces. Front ends, including app.reserve.org, are software applications that may experience downtime, bugs, or security incidents. Transactions may be front-run or sandwiched, and network congestion can cause failures or unexpected costs. You are responsible for choosing your wallet, safeguarding your keys, reviewing transaction details before signing, and deciding which interfaces or contracts to trust.


The legal and tax treatment of digital assets, DTFs, and DeFi protocols is evolving and may differ between jurisdictions. Changes in law, regulation, tax policy, or enforcement priorities could impact your ability to use the Reserve contracts or app.reserve.org, the status of RSR or particular DTFs, or the obligations of entities that interact with them. ABC Labs does not make any representation about the regulatory classification or tax consequences of any token or activity. You are solely responsible for understanding and complying with applicable laws, including any registration, reporting, or tax obligations.

Information on the Sites, including descriptions of DTFs, collateral, governance parameters, and risk factors, may change over time as the protocol evolves and as governance decisions are made. ABC Labs may update, correct, or remove information without notice and has no obligation to keep the Sites up to date. The Reserve contracts used by any DTF may also be upgraded by governance. You are responsible for checking the latest documentation and for understanding the current characteristics and risks of any DTF or contract you choose to use.
